Please read these Terms and Conditions carefully before engaging with Impactful Insights Networking LLC. By accessing our website, booking a Strategy Session, or entering into a coaching agreement, you agree to be bound by these terms in full.

01  Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the services offered by Impactful Insights Networking LLC (“IIN,” “we,” “us,” or “our”), a Virginia limited liability company. By using our website at iin-global.com, completing a booking form, purchasing a digital product, or executing a coaching agreement, you (“Client,” “you”) agree to these Terms in their entirety.

If you do not agree with any part of these Terms, you must not access our website or engage our services.

02  Definitions

Services

All coaching programs, advisory engagements, strategy sessions, digital products, webinars, and content made available by IIN.

GGA

Global Growth Accelerator — IIN's 24-month flagship coaching program.

ILS

International Launch Sprint — IIN's 12-month focused coaching program.

Strategy Session

A standalone 2-hour paid engagement open to prospects and alumni at $2,500 per session.

Frameworks

IIN's suite of eight proprietary coaching frameworks, templates, playbooks, and associated intellectual property.

Coaching Agreement

The individualized program contract executed between IIN and a Client for GGA, ILS, or Strategic Advisory services.

Portal

IIN's GoHighLevel (GHL) client portal through which program resources, session recordings, and communications are delivered.

03  Description of Services

IIN provides executive coaching, strategic advisory, and educational services to B2B SaaS founders navigating international expansion. Our current service offerings include:

◈    Global Growth Accelerator (GGA) — 24-month bi-weekly coaching program, multi-market focus

◈    International Launch Sprint (ILS) — 12-month monthly coaching program, single-market focus

◈    Strategic Advisory — ongoing advisory for GGA and ILS program alumni

◈    Strategy Session — standalone 2-hour intensive with written recommendations

◈    Digital Products — ebook and self-paced resources sold via Lemon Squeezy

◈    Cultural Awareness Training — corridor-specific team training, virtual and in-person

◈    Webinars and free content — educational programming available to the public

All program details, session structures, and deliverables are specified in the applicable Coaching Agreement. These Terms apply in addition to, and do not supersede, the executed Coaching Agreement where one exists. In the event of a conflict, the Coaching Agreement controls for enrolled program clients.

04  Eligibility

IIN's coaching programs are designed for B2B SaaS founders and CEOs operating at $1M–$20M ARR who are actively pursuing or preparing for international expansion. By engaging IIN's services, you represent that you are at least 18 years of age, have the legal authority to enter into a binding agreement on behalf of yourself or your company, and that the information you provide during the intake and qualification process is accurate and complete.

IIN reserves the right to decline any engagement at its sole discretion and without obligation to provide a reason for doing so.

05  Investment & Payment

All fees are denominated in US Dollars (USD). Clients bear all foreign exchange conversion costs. IIN does not invoice in any currency other than USD.

Monthly billing: A card on file is required at contract execution and is charged on the 1st of each calendar month. A five (5) day grace period applies. Portal access is suspended on Day 6 if payment has not cleared and reinstated immediately upon successful payment.

Pay-in-full: Wire and ACH payments are accepted. Engagement does not begin until funds have fully cleared (3–5 business days for wire; 2–3 business days for ACH). Card pay-in-full clears on the same business day.

Failed payments: IIN will notify you within 24 hours of a failed payment. You have five (5) business days to resolve the failure before your program start date is adjusted. Partial payments are not accepted.

Late fees: Late fees apply after the grace period expires and are documented in the applicable Coaching Agreement.

International clients: Stripe handles international card processing natively. All invoices are issued in USD. Explicit USD-only terms are included in all Coaching Agreements.

06  Cancellation & Refund Policy

Strategy Sessions: Cancellations made more than 48 hours before the scheduled session may be rescheduled once at no charge. Cancellations within 48 hours of the session are non-refundable. No-shows are non-refundable.

Program engagements (GGA / ILS): All program fees paid are non-refundable except as expressly provided in the applicable Coaching Agreement. Where a satisfaction guarantee is offered, the specific terms, conditions, and request process are detailed in the Coaching Agreement.

Digital products: All sales of digital products (ebooks, self-paced courses) are final and non-refundable once access has been granted, except where required by applicable consumer protection law.

IIN-initiated cancellation: If IIN must cancel a scheduled session due to coach unavailability, the session will be rescheduled at no cost to the Client and within a reasonable timeframe. IIN's force majeure provisions, documented in each Coaching Agreement, govern extended unavailability.

07  Intellectual Property

All content on iin-global.com — including but not limited to text, graphics, logos, frameworks, templates, playbooks, video scripts, newsletter content, and course materials — is the exclusive intellectual property of Impactful Insights Networking LLC and is protected by applicable copyright, trademark, and trade secret laws.

Program Clients are granted a limited, non-exclusive, non-transferable license to use IIN's frameworks and templates for the internal business purposes of their own company during and after the active engagement period. This license does not include the right to:

◈    Reproduce, distribute, or publish IIN materials in any form

◈    Sub-license, sell, or transfer any IIN framework or template to a third party

◈    Use IIN frameworks in any coaching, consulting, or advisory service offered to others

◈    Remove or obscure any IIN attribution, copyright notice, or branding from any material

Unauthorized use of IIN's intellectual property will be pursued to the fullest extent permitted by law.

08  Confidentiality

Both parties agree to maintain the confidentiality of all proprietary, business, and personal information exchanged during the coaching engagement. IIN will not disclose your confidential business information to any third party without your express written consent, except as required by law or as necessary to deliver the Services.

Clients agree to maintain the confidentiality of IIN's proprietary frameworks, methodologies, and materials. Confidentiality obligations survive the termination of any Coaching Agreement for a period of three (3) years from the date of final engagement.

IIN may reference client engagements in anonymized form for case study, marketing, or educational purposes. Named testimonials and case studies require separate written consent.

09  Disclaimers

IIN's services constitute executive coaching and strategic advisory. They do not constitute legal advice, tax advice, financial advice, accounting services, or regulated professional services of any kind. IIN is not a law firm, accounting firm, or registered investment advisor.

IMPORTANT NOTICE

International expansion involves complex legal, tax, regulatory, and operational considerations that vary by jurisdiction. IIN's guidance is strategic in nature. Clients are solely responsible for engaging qualified local legal, tax, and regulatory counsel in each target market. IIN's frameworks are reference tools, not legal or compliance opinions.

IIN makes no guarantee of specific business outcomes, revenue results, market entry success, or return on investment. The success of any international expansion strategy depends on factors outside IIN's control, including but not limited to market conditions, client execution, competitive dynamics, regulatory changes, and macroeconomic factors.

The iin-global.com website and all content thereon are provided "as is" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

10  Limitation of Liability

To the fullest extent permitted by applicable law, IIN's total aggregate liability to you for any claim arising out of or related to these Terms or the Services — whether in contract, tort, strict liability, or otherwise — shall not exceed the total fees paid by you to IIN in the twelve (12) months immediately preceding the claim.

IIN shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption, even if IIN has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages. Where such laws apply, IIN's liability is limited to the maximum extent permitted.

11  Conflict of Interest Policy

IIN does not accept equity, referral fees, commissions, or any other form of compensation from any third party introduced to a Client as part of IIN's services. All partner introductions and referrals are made solely in the Client's interest and without financial arrangement between IIN and the referred party.

This policy is referenced in all Coaching Agreements and applies for the duration of the engagement and for twelve (12) months following its conclusion. If you become aware of any actual or potential conflict of interest involving IIN, you are encouraged to raise it directly with IIN's principal, Raphaela (Ella) O'Brien, at the contact address below.

12  Session Recording & Data Retention

All coaching sessions conducted via Microsoft Teams are recorded with Client consent, as confirmed in the Coaching Agreement. Recordings are stored in the Client's dedicated OneDrive folder and are the Client's property upon engagement conclusion.

IIN retains session recordings for the following periods from the date of each session: GGA clients — 24 months; ILS clients — 18 months; Strategic Advisory clients — 12 months. Clients receive 30 days' written notice before deletion. Clients may request earlier deletion at any time.

IIN handles all Client personal data in accordance with applicable privacy laws and IIN's Privacy Policy, available on iin-global.com. Client data stored in IIN's GHL CRM is used solely for service delivery, follow-up communications, and program administration.

13  Website Use

You agree to use iin-global.com only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of this site by, any third party. Prohibited conduct includes but is not limited to: transmitting unlawful, defamatory, abusive, or threatening material; scraping or harvesting content or data; introducing malicious code; or attempting to gain unauthorized access to any part of the website or its infrastructure.

IIN reserves the right to terminate or restrict access to the website for any user engaging in prohibited conduct, without notice.

14  Dispute Resolution & Governing Law

These Terms and any dispute arising out of or relating to them or the Services shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions.

Before initiating any formal legal proceeding, both parties agree to attempt to resolve any dispute through good-faith negotiation. If negotiation does not resolve the matter within thirty (30) days of written notice, either party may pursue the available legal remedies.

Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Fairfax County, Virginia. You consent to the personal jurisdiction and venue of such courts.

15  Changes to These Terms

IIN reserves the right to update or modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and, where appropriate, notify active Clients via email. Your continued use of the website or Services after the effective date of any changes constitutes your acceptance of the revised Terms.

For active program Clients, changes to these Terms do not alter the terms of your executed Coaching Agreement, which controls for the duration of your program engagement.
